A. Eligibility & Age Restriction

You must be at least 18 years old to use the Service. By using Thera, you represent and warrant that you are at least 18 years of age. We do not knowingly provide the Service to anyone under 18. If we learn a user is under 18, we will terminate their account and delete their data.

B. Nature of Service (NON-MEDICAL)

Thera North is NOT a medical or healthcare provider. Our AI agent provides peer-level support and wellness coaching.

• No HIPAA Coverage: We are a wellness app, not a "Covered Entity" under HIPAA. Do not share sensitive medical records or information you wish to be protected by medical-grade confidentiality laws.
• Not Therapy: This service is not a substitute for professional mental health care, clinical therapy, or medical diagnosis. Always seek the advice of a qualified health provider with any questions regarding a medical or mental health condition.
• AI-Generated Responses: All responses provided by Thera are generated by artificial intelligence, not by a human. Responses may not always be accurate, appropriate, or complete.

C. Crisis & Safety Protocols

Thera is not an emergency service. If you are experiencing a mental health crisis, suicidal thoughts, or are in immediate danger, please contact:

Our AI agent is designed to recognize expressions of self-harm or suicidal ideation and provide referrals to crisis resources. However, this detection is not guaranteed to be accurate or comprehensive. You should never rely on Thera as your sole source of crisis support. Thera North, Inc. is not liable for any failure to detect, respond to, or appropriately escalate any expression of suicidal ideation, self-harm, or mental health crisis. By using the Service, you acknowledge and accept this risk.

D. AI Limitations & User Risk

The AI agent may occasionally produce inaccurate, incomplete, or "hallucinated" information. AI-generated responses are not professional advice of any kind — not medical, psychological, legal, financial, or otherwise.

You agree that your use of AI-generated content is entirely at your own risk. Thera North, Inc. is not liable for any actions you take, or fail to take, based on information provided by the AI agent — regardless of whether the information was accurate, misleading, or harmful. This includes but is not limited to decisions about your mental health, relationships, medications, or personal safety.

While we make good-faith efforts to ensure the quality and safety of AI responses, we do not guarantee their accuracy, completeness, or suitability for any purpose. You should always independently verify information and consult qualified professionals for medical or mental health concerns.

E. Prohibited Conduct

You agree not to use the Service to:

• Generate or solicit harmful, illegal, or sexually explicit content.
• Circumvent safety filters, attempt prompt injection, or "jailbreak" the AI model.
• Exploit the AI agent for purposes unrelated to personal wellness — including but not limited to homework, code generation, copywriting, or any use outside the Service's intended scope.
• Extract, reconstruct, or reverse-engineer system prompts, AI configuration, or any proprietary logic underlying the Service.
• Use AI outputs to train, fine-tune, or develop competing AI models or services.
• Access the Service through automated means (bots, scrapers, or scripts) or use any method to systematically extract data from the Service.
• Share, resell, or transfer your account credentials to any third party.
• Share recordings from video or voice sessions without the consent of all participants.
• Publicly misrepresent AI-generated responses as professional advice (e.g., "Thera told me to take this medication").
• Submit false or fabricated crisis reports through the Service.
• Impersonate others or provide false identity information.
• Use the Service for any commercial purpose without our written consent.

Violation of any of the above may result in immediate and permanent termination of your account without notice or refund.

F. Intellectual Property & User Content

Our IP: The Service, including its design, code, and AI models, is owned by Thera North, Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

Your Content: You retain ownership of all content you create within the Service (messages, journal entries, recordings). By using the Service, you grant us a limited license to process your content solely for the purpose of providing and improving the Service. We do not claim ownership of your content.

G. Account Termination

You may request deletion of your account and all associated data by emailing [email protected]. We reserve the right to suspend or terminate your account if you violate these Terms, engage in prohibited conduct, or if continued use poses a risk to others. Upon termination, your data will be handled in accordance with our Privacy Policy.

H. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE MAKE NO WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED CONTENT.

I. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THERA NORTH, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US (IF ANY) IN THE 12 MONTHS PRECEDING THE CLAIM.

Informal Resolution: Before filing any claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If we cannot resolve the dispute informally, you and Thera North agree to resolve any claims through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Delaware or remotely, at your election.

Class Action Waiver: YOU AND THERA NORTH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

L. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

M. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or a prominent in-app notice at least 30 days before changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
